General terms of delivery

to CNT plus sp. z o.o.

 

These general terms and conditions of sale bind Sellers in full, unless the parties expressly exclude the application of certain provisions in writing.

 

  1. In the case of an Order placed with a Seller who maintains ongoing business relations with CNT, the Seller's failure to respond to the Order within 3 business days means acceptance of the Buyer’s offer under the terms specified in the Order (Ongoing business relations mean the continuation of order fulfillment by CNT or repeated commercial contacts (at least 3 times within the 12 calendar months preceding the placement of the order).

  2. A Seller not maintaining ongoing business relations with CNT is obliged to confirm acceptance of the Order in writing (Order Confirmation) within 5 business days, unless otherwise agreed between the Parties. After the expiration of the above term, the Order ceases to bind CNT.

  3. If the Order Confirmation contains any conditions that are inconsistent with the terms of the Order, CNT has the right, within 5 business days from the date of receipt of the Order Confirmation, to declare whether it accepts the fulfillment of the Order under the conditions changed by the Seller. CNT's declaration may be sent to the Seller via email, fax, or other means of remote communication.

  4. In the event of discrepancies between the Order placed by CNT and the Seller's invoice, the data from the Order shall be considered agreed.

  5. The Supplier guarantees that it has suitably qualified personnel, infrastructure, and competencies capable of ensuring the required quality and compliance with the specified requirements of the Company.

  6. The Seller guarantees the right of access for the Buyer and its Clients to its premises for the purpose of conducting audits, inspections, and other activities related to the work performed for the Buyer.

  7. The Seller undertakes to notify the Buyer of any discrepancies affecting the delivery time of the product/service.

  8. In the absence of different arrangements between the Parties, the value of the Order includes the value of the ordered Goods along with the documentation and its packaging and delivery to CNT.

  9. The Seller, along with the delivery of the Goods, is obliged to provide a transport document (waybill appropriate to the type of transport along with the shipment specification).

  10. On the transport document and other documents related to the execution of the Order, such as letters, invoices, quality certificates, and declarations of conformity, the Seller is obliged to include the Order number.

  11. The Seller is obliged to notify CNT of the readiness of the Goods for shipment via email, fax, or other means of remote communication at least 3 business days before the planned delivery date of the Goods.

  12. Deliveries of Goods are accepted at the CNT headquarters during warehouse opening hours, i.e., 8:00 AM to 4:00 PM.

  13. CNT allows the possibility of accepting deliveries outside warehouse opening hours, provided that this is agreed in advance between CNT and the Seller.

  14. The quantitative control of the delivered Goods and their condition after transport takes place immediately after delivery to the CNT warehouse, by comparing the delivery with the transport documents and the Order and through inspection of the external condition of the Goods.

  15. If the quantity of Goods does not match the transport documents and the Order or if the delivered Goods are damaged, CNT will note the above discrepancy in the transport documents. If the delivery does not comply in terms of quantity or quality with the conditions of the Order, CNT will inform the Seller via email, fax, or other means of remote communication.

  16. The Seller is obliged to deliver the missing parts of the delivery or replace the defective Goods with new, defect-free ones at its own expense within 3 business days from the date of the discrepancy report by CNT.

  17. The Order is deemed fulfilled upon delivery to CNT of the ordered Goods in accordance with the Order along with all the documents required by the Buyer.

  18. The Seller provides a two-year warranty and guarantee for the Goods.

  19. The Seller guarantees that the technical and performance parameters of the Goods meet the requirements of CNT specified in the Order and that during the warranty period or the warranty period, the Goods will be free from defects that would prevent their proper and trouble-free operation.

  20. The Seller undertakes to notify CNT of planned and/or made changes to the delivered product. Any changes made to the product should be fully identifiable and obtain the approval of the representative of Company CNT.

  21. The Seller bears full civil and financial liability for the effects and consequences of defects in the Goods, revealed or arising during the warranty or guarantee period due to improper Quality of the delivered Goods.

  22. In the event that a defect in the Goods occurs during the warranty or guarantee period, CNT will inform the Seller of this fact in writing (via email).

  23. The Seller is obliged to remove the defect in the Goods within 3 working days from the date of receiving notification of its occurrence from CNT. During the warranty or guarantee period, the Seller may not acknowledge the claim made in the manner described above only if it proves that the defect in the Goods arose due to the fault of CNT as a result of improper use of the Goods, inconsistent with the instructions and documents provided by the Seller. If during the warranty or guarantee period the delivered Goods are affected by a defect caused by the Seller three times, the Seller is obliged to replace the defective Goods with defect-free ones at their own expense. The Seller's warranty obligations will be fulfilled at the location indicated by CNT. The Supplier is obliged to prepare a report concerning the defect in the Goods, indicating the cause of its occurrence and the method of removal, no later than 2 weeks from the receipt of the Notification of its detection.

  24. The warranty or guarantee is extended by the time from the notification of the defect in the Goods until its removal.

  25. In the case of replacing defective Goods with new ones, the warranty or guarantee period is counted from the beginning.

  26. If the Seller does not remove the defect reported during the warranty or guarantee period in a timely manner, CNT has the right to remove the defect independently or to commission its removal by a third party at the Seller's expense, without losing rights arising from the warranty or guarantee.

  27. In the event of improper performance of obligations by the Seller, CNT has the right to charge the Seller a penalty of 5% of the value of the Order for each violation, and in the case of delay in the execution of the Order or in the removal of the defect in the Goods, a penalty of 1% of the value of the Order for each day of delay. Payment of the penalty does not relieve the Seller of the obligation to perform the obligation. In the event of a delivery delay of more than 30 days, the Ordering Party is entitled to withdraw from the Order for the part of the delivery not executed on time.

  28. In the event of a delay by CNT in paying the price, the Seller is entitled to claim statutory interest from CNT.

  29. If the penalties do not cover the incurred damage, CNT may seek supplementary compensation. CNT is entitled to monitor the process of fulfilling its Orders with the Seller, even in the presence of recipients of CNT's products.

  30. The Seller's disclosure of information related to the Order to third parties requires the written consent of CNT.

  31. The transfer of rights and obligations of the Seller arising from the execution of the Order requires the written consent of CNT.

  32. All disputes related to the Order shall be resolved by the court competent for CNT.
